Billing philosophy
Cyntech bears all engagement costs. Oction never absorbs token, inference, or infrastructure costs, and never pays cloud API fees on Cyntech's behalf.
Payment schedule
Phase 1 bills at data ingestion (Week 0), portal delivery (Week 9), and benchmark & go-live (Week 17). Phase 2 and Phase 3 milestone structures are confirmed before signing.

Oction guarantees
Milestone-based billing. Cyntech pays at defined milestones only. No open-ended time and materials. Each phase fee is fixed at signing.
95% platform uptime SLA. Oction guarantees 95% uptime for the hosted platform. Planned maintenance windows are scheduled outside Cyntech business hours.
Data ownership. All project data, models, and outputs belong to Cyntech. Full export at any time. No vendor lock-in.

Cyntech can provide the rental of hydraulic drive head attachments, tooling and torque monitoring equipment which can be utilized in conjunction with contractor-supplied excavators. Upon request, our Technical Advisors are available to train and/or monitor installation crews in the safe and correct helical pile installation procedures. Pile installations will require our 30,000 ft-lb ("30K") hydraulic drive head attachment, typically mounted on a [Mini] (or larger) excavator.

Proposal Exclusions:

a.  Any additional materials (available on request -- lead times may vary and are dependent on additional order quantity and time of order)

b.  Any additional design review or professional engineer review or seals, as required.

c.  Performance bonding and or warranties (available on request)

General Terms and Conditions

Unless otherwise stated in our quotation, the following General Terms and Conditions shall govern our work on this project.

1. Guarantee

Cyntech guarantees all materials will be supplied free of manufacturing defects. Replacement at no cost to Customer if notified within 72 hours of delivery.

2. Non-Disclosure

This proposal is submitted under confidential relationship and is the property of Cyntech US Inc. Any disclosure, copying, or distribution without prior written consent is strictly prohibited.

3. Payment

Progress payments within 30 days after receipt of invoice. Overdue accounts bear interest at 1.5% per month (18% per annum). Holdback limited to 10% of earned payments.

4. Limitations

Cyntech shall not be liable for any liquidated, indirect, consequential, or exemplary damages. Total liability shall not exceed Cyntech's contract price.

5. Differing Site Conditions

Cyntech shall be entitled to equitable adjustment when additional materials are required due to latent conditions differing from those indicated in Contract documents.

6. Indemnity

Cyntech shall indemnify, but not defend, Owner and/or Contractor for claims arising directly from negligence or intentional fault of Cyntech in performing its work hereunder.

7. Insurance

Cyntech maintains general liability, automobile liability and contractor's equipment insurance. Purchaser responsible for additional charges with increased coverage requirements.

8. Amendment

These general conditions shall not be nullified or superseded except by a subsequent document signed by an authorized representative of Cyntech.

9. Expiration

This quotation expires 30 days after the proposal date unless extended in writing by Cyntech or accepted in writing or by Contract.

10. Precedence & 11. Liquidated Damages

These conditions take precedence over conflicting provisions. Neither party shall be liable to each other for liquidated damages under this agreement.

Dispute resolution
Good-faith written notice required 15 days before any claim. Disputes unresolved after 30 days proceed to binding arbitration in Calgary, AB.
Confidentiality
All project data, pricing, and technical materials shared under mutual NDA. Survives termination of this engagement for 3 years.
Termination
Either party may terminate with 30 days written notice. Cyntech owes fees for work completed to date. All Cyntech data returned within 5 business days.
